Terms of Service

Please read these Terms of Service ("Terms", "Agreement") carefully before using the Sundy encrypted storage application ("Service") operated by Sundy Data Labs ("Company", "we", "our", or "us").

1. Acceptance of Terms

By downloading, installing, or using Sundy, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use our Service.

2. Description of Service

Sundy is a desktop application that provides encrypted storage functionality. The Service includes:

• Creation and management of encrypted storage containers
• Multi-password vault system
• MAGIC disk unlock functionality
• Built-in 2FA (TOTP) generator
• Virtual disk mounting via Apple FSKit (built into macOS 26+)

Installation of Sundy requires acceptance of the Software License Agreement, which includes disclaimers for data loss and limitation of liability.

3. License Grant

3.1 Personal License

Upon purchase of a valid license, we grant you a non-exclusive, non-transferable, limited license to:

• Install and use Sundy on devices you own or control
• Use the software for personal or commercial purposes
• Receive free updates for the lifetime of the product

3.2 License Restrictions

You may NOT:

• Redistribute, sell, lease, or sublicense the software
• Modify, reverse engineer, decompile, or disassemble the software
• Remove or alter any proprietary notices or labels
• Use the software for any unlawful purpose
• Transfer your license to another person or entity
• Use one license on more machines than permitted

3.3 License Binding

Each license is bound to a specific Machine ID derived from your hardware. This binding cannot be transferred to another machine without our explicit authorization.

4. Purchases and Payments

4.1 Pricing

License prices are as displayed at the time of purchase. We reserve the right to modify pricing at any time without notice, but changes will not affect existing licenses.

4.2 Payment

All payments are processed through secure third-party payment processors. We do not store your complete payment information.

4.3 Refund Policy

We offer a 30-day money-back guarantee from the date of purchase. To request a refund:

• Provide your order number and reason for refund
• Refunds are processed within 5–10 business days

After 30 days, refunds are granted only at our discretion for exceptional circumstances.

EU / UK statutory rights: If you are an EU or UK consumer, you may have a statutory right of withdrawal within 14 days of purchase under the Consumer Rights Directive / Consumer Contracts Regulations. Our 30-day policy is in addition to and does not limit any such statutory rights. If you have consented to immediate digital delivery and the software has been downloaded, the statutory right of withdrawal may not apply; please contact us and we will assess your request under our broader 30-day policy in any case.

5. User Responsibilities

5.1 Password Management

You acknowledge and agree that:

• You are responsible for creating and remembering secure passwords
• Lost passwords cannot be recovered by us or anyone else
• We recommend maintaining secure backups of your passwords

5.2 Data Backup

You are responsible for maintaining backups of your encrypted storage files and the passwords needed to access them.

5.3 Legal Compliance

You agree to use Sundy only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations.

6. Intellectual Property

Sundy, including its code, design, documentation, and trademarks, is the intellectual property of Sundy Data Labs. This Agreement does not transfer any intellectual property rights to you.

7. Third-Party Software

Sundy is designed to run on macOS 26+ using Apple's native FSKit APIs. The virtual file-system extension is bundled with the application. Sundy does not require or install macFUSE or other third-party kernel extensions. Any third-party components embedded in the application remain subject to their own licenses.

8. Disclaimer of Warranties

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results from using the Service will be accurate or reliable
• Any errors in the Service will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUNDY DATA LABS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your data
• Damages resulting from lost passwords or inaccessible encrypted data

Our total liability shall not exceed the amount paid by you for the license.

10. Indemnification

You agree to indemnify and hold harmless Sundy Data Labs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you store using the Service

11. Termination

11.1 By You

You may stop using Sundy at any time. Uninstalling the software terminates your use but does not entitle you to a refund outside the refund policy period.

11.2 By Us

We may terminate or suspend your license immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately.

11.3 Effect of Termination

Termination does not affect your encrypted data, which remains accessible with your passwords. However, you will not receive updates or support.

12. Updates and Modifications

We may release updates to Sundy that may add, modify, or remove features. While we strive for backward compatibility, we cannot guarantee that future updates will not affect existing functionality.

13. Privacy

Your use of Sundy is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. Governing Law

These Terms are governed by the laws of Indonesia, without regard to its conflict-of-law provisions, except as follows:

• EU / EEA consumers: Nothing in these Terms limits mandatory protections afforded to you under the laws of your country of residence within the European Economic Area. You retain the right to bring proceedings before the courts of your EU member state of residence.
• UK consumers: Nothing in these Terms limits mandatory protections afforded to you under English law or the laws of Scotland or Northern Ireland. You retain the right to bring proceedings before UK courts.
• Australian consumers: Nothing in these Terms excludes or restricts your rights under the Australian Consumer Law.

15. Dispute Resolution

Before initiating any formal legal action, you agree to contact us at legal@sundy.io to attempt to resolve the dispute informally. We will respond and attempt to resolve disputes within 30 days. This informal step is encouraged but does not waive any statutory rights you may have, including the right to bring a claim before your local courts or consumer protection authority at any time.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and Sundy Data Labs regarding the Service and supersede all prior agreements and understandings.

18. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice by posting a notice on our website and, where we hold your email address, by email. Non-material clarifications may take effect immediately. If you do not agree with material changes, you may stop using the Service before the changes take effect; continued use after the effective date constitutes acceptance. Your statutory rights are not affected.
